Last updated: July 2026 These Terms of Service (“Terms”) constitute a legally binding agreement between you and Ascienth (“Ascienth,” “we,” “us,” or “our”) governing your access to and use of the Ascienth cloud VPS platform, including all services, features, and tools made available at console.ascienth.com and any related websites or APIs (collectively, the “Service”). Please read these Terms carefully before creating an account or using the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” include both you individually and that organization. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any update to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

Ascienth provides a cloud-based virtual private server (VPS) platform that allows customers to provision, configure, and manage virtual servers, storage, networking, and related infrastructure resources on demand. The Service is offered on an hourly, usage-based billing model as described in our Billing documentation. Ascienth reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration and Security

To access the Service, you must register for an account by providing accurate, complete, and current information, including a valid email address and payment method. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
  • Promptly notify Ascienth of any unauthorized use of your account or suspected security breach by contacting support@ascienth.com.
  • Ensure that your account information remains accurate and up to date at all times.
  • Not share your account credentials with any third party or allow multiple individuals to use a single account without written authorization from Ascienth.
Ascienth will not be liable for any loss or damage arising from your failure to comply with these account security obligations.

4. Acceptable Use Policy

You may use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited on the Ascienth platform:
  • Spam and unsolicited communications: Sending bulk unsolicited email, SMS, or other communications; operating open mail relays; or engaging in any activity that facilitates the transmission of spam.
  • Illegal content: Hosting, distributing, or transmitting any content that is unlawful, including but not limited to content that infringes intellectual property rights, constitutes child sexual abuse material, or violates applicable export control laws.
  • Network abuse: Conducting or participating in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks; port scanning third-party networks without authorization; or intentionally disrupting the connectivity or performance of the Ascienth network or any third-party network.
  • Cryptocurrency mining: Running cryptocurrency mining operations, including proof-of-work mining software, without prior written approval from Ascienth. Approved mining use cases are subject to additional terms and resource limitations.
  • Phishing and fraud: Hosting phishing pages, conducting social engineering attacks, impersonating other persons or organizations, or engaging in any fraudulent activity.
  • Unauthorized access: Attempting to gain unauthorized access to any computer system, network, or data, including other Ascienth customer environments.
Ascienth reserves the right to investigate suspected violations of this policy and to suspend or terminate accounts found to be in violation, without prior notice where necessary to protect the integrity of the platform or third parties.

5. Payment and Billing

By using the Service, you agree to pay all fees associated with your resource usage in accordance with the pricing displayed at the time of provisioning. Billing is calculated on an hourly basis and invoiced monthly. You authorize Ascienth to charge your designated payment method for all amounts due. If any payment is declined or reversed, Ascienth may suspend your account until the outstanding balance is settled. Accounts that remain delinquent after the retry period described in our billing documentation may be terminated and associated data may be permanently deleted. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

6. Service Availability and Uptime

Ascienth aims to provide a highly available platform and commits to a monthly uptime target as specified in our Service Level Agreement (SLA). However, the Service is provided “as is” and Ascienth does not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency repairs, and circumstances beyond Ascienth’s reasonable control may result in temporary service interruptions. Service credits available under the SLA constitute your sole and exclusive remedy for any service availability failures, subject to the terms and limitations set out in that document.

7. Data and Privacy

You retain ownership of all data, content, and software you store on the Ascienth platform (“Customer Data”). Ascienth will not access, use, or disclose your Customer Data except as necessary to provide the Service, comply with applicable law, or respond to a verified legal request. You are solely responsible for the legality, accuracy, and appropriateness of your Customer Data and for maintaining backups of any data you consider important. Ascienth’s backup and snapshot features are provided as a convenience and do not constitute a guarantee against data loss. Ascienth’s collection and use of personal information is governed by our Privacy Policy, available at /docs/legal/privacy-policy.

8. Intellectual Property

All software, interfaces, documentation, branding, and other materials made available by Ascienth as part of the Service are the intellectual property of Ascienth or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service or Ascienth’s intellectual property. You grant Ascienth a limited, non-exclusive, royalty-free license to host, transmit, and process your Customer Data solely to the extent necessary to provide the Service. This license terminates upon deletion of the relevant data or closure of your account.

9. Termination

Termination by you: You may close your account at any time by deleting all servers and resources and submitting a closure request through the dashboard. You remain liable for all charges accrued up to the time of account closure. Termination by Ascienth: Ascienth may suspend or terminate your account at any time for breach of these Terms, non-payment of fees, or conduct that Ascienth reasonably determines to be harmful to the platform or other customers. Where feasible, Ascienth will provide advance notice; however, immediate suspension or termination may occur in cases of serious or ongoing violations. Effect of termination: Upon termination, your access to the Service will cease and all Customer Data may be permanently deleted after a short retention window. It is your responsibility to export any data you wish to retain before account closure.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Ascienth’s total cumulative liability to you for any claims arising out of or relating to these Terms or the Service — whether in contract, tort, or otherwise — shall not exceed the greater of (a) the total fees you paid to Ascienth in the three months immediately preceding the event giving rise to the claim. In no event shall Ascienth be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if Ascienth has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ascienth is incorporated, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction. You agree to submit to the personal jurisdiction of such courts.

12. Changes to Terms

Ascienth may revise these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. When we make material changes, we will notify you by email and/or by posting a prominent notice in the dashboard at least 14 days before the changes take effect. The updated Terms will also be posted on this page with a revised “Last updated” date. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and close your account before the effective date.
